Vish Universal Digital Marketing Services - Terms and Conditions
1. Services:
Vish Universal Digital Marketing Services ("Vish Universal") agrees to provide digital marketing services to the client ("Client") as outlined in the proposal or contract signed by both parties. Services may include, but are not limited to, search engine optimization (SEO), social media marketing, email marketing, content creation, online advertising, website development, and analytics.
2. Fees and Payment:
The Client agrees to pay Vish Universal the fees specified in the proposal or contract for the services provided. Payment terms, including the frequency and method of payment, will be detailed in the proposal or contract. Vish Universal reserves the right to suspend services for non-payment or late payment.
3. Term and Termination:
The term of this Agreement shall commence on the effective date specified in the proposal or contract and shall continue until terminated by either party. Either party may terminate this Agreement for material breach upon providing written notice to the other party with a minimum of 30 days' notice.
4. Confidentiality:
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of this Agreement. This includes, but is not limited to, business strategies, trade secrets, client lists, marketing plans, and any other information deemed confidential by either party.
5. Intellectual Property:
All intellectual property rights to any materials, content, or creative assets developed or provided by Vish Universal during the term of this Agreement shall remain the property of Vish Universal unless otherwise agreed upon in writing. The Client is granted a limited, non-exclusive license to use such intellectual property solely for the purpose of the services provided under this Agreement.
6. Representations and Warranties:
Each party represents and warrants that it has the authority and right to enter into this Agreement and to perform all obligations outlined herein. Vish Universal further warrants that the services provided will be performed in a professional and workmanlike manner, consistent with industry standards.
7. Limitation of Liability:
In no event shall Vish Universal be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement, including but not limited to loss of profits, loss of data, or business interruption, whether in contract, tort, or otherwise, even if advised of the possibility of such damages.
8. Governing Law and Dispute Resolution:
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified in the proposal or contract. Any dispute arising out of or relating to this Agreement shall be resolved through arbitration in the jurisdiction specified, in accordance with the rules of the designated arbitration institution or, if not specified, by a court of competent jurisdiction.
9. Entire Agreement:
This Agreement constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
By signing below, the parties acknowledge that they have read and understood this Agreement and agree to be bound by its terms and conditions.
